4.2 Technical Prohibited Conduct

• Using automated tools, bots, scrapers, or similar technologies to access, collect data from, or interact with the Services without our express written permission.
• Interfering with, disrupting, or placing an unreasonable burden on the Services or the servers or networks connected to the Services.
• Introducing viruses, malware, ransomware, Trojan horses, or other harmful code into the Services.
• Attempting to reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of any software underlying the Services.
• Circumventing or attempting to circumvent any security features or access controls of the Services.

4.3 Order-Related Prohibited Conduct

• Placing orders with no intent to pay or to receive the Products.
• Exploiting promotional offers, discounts, or coupons beyond their intended use or in violation of the specific terms of such promotions.
• Submitting duplicate or excessive orders to manipulate inventory or pricing.
• Providing inaccurate delivery address information that results in failed deliveries.

Wing Snob reserves the right to investigate any suspected violations of these prohibitions and to take appropriate action, including, but not limited to, suspending or terminating your Account, reporting violations to law enforcement authorities, and pursuing civil or criminal legal remedies.

5. Ordering, Payment, and Pricing

5.1 Order Placement

By placing an order through the Services, you are making an offer to purchase Products from Wing Snob subject to these Terms. All orders are subject to acceptance and availability. Wing Snob reserves the right to refuse or cancel any order at its discretion, including orders that appear to be placed fraudulently or in violation of these Terms.

5.2 Pricing

9.2 Food Product Disclaimers

Wing Snob makes reasonable efforts to provide accurate information about ingredients, allergens, and nutritional content of our food Products. However, food preparation in a commercial kitchen environment may involve cross-contact with common allergens including, but not limited to, peanuts, tree nuts, shellfish, wheat, dairy, eggs, soy, and fish. Wing Snob cannot guarantee that any Product is completely free from allergens.

If you have food allergies, dietary restrictions, or medical conditions that may be affected by certain foods, you acknowledge and assume the risk of consuming our Products. We strongly encourage you to consult our staff directly before placing an order. Wing Snob shall not be liable for any allergic reactions, food-related illnesses, or other health consequences arising from the consumption of our Products, except to the extent required by applicable law.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WING SNOB, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, SUPPLIERS, OR PARTNERS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY:

• INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES;
• LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES;
• DAMAGES ARISING FROM YOUR INABILITY TO ACCESS OR USE THE SERVICES;
• DAMAGES ARISING FROM UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA;
• DAMAGES ARISING FROM THE CONDUCT OF ANY THIRD PARTY IN CONNECTION WITH THE SERVICES;
• ANY OTHER MATTER RELATING TO THE SERVICES;

WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT WING SNOB HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN JURISDICTIONS THAT DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, WING SNOB'S LIABILITY SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

IN NO EVENT SHALL WING SNOB'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT PAID BY YOU TO WING SNOB IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED UNITED STATES DOLLARS ($100.00).

11. Indemnification

To the fullest extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Wing Snob, its parent companies, subsidiaries, affiliates, officers, directors, employees, agents, licensors, and service providers (collectively, "Wing Snob Parties") from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms or any applicable law or regulation.
• Your use or misuse of the Services.
• Your User Content or any content you submit, post, or transmit through the Services.
• Your violation of any third party's rights, including intellectual property rights, privacy rights, or proprietary rights.
• Any dispute between you and any third party, including other customers or delivery personnel.
• Your fraudulent, negligent, or intentional misconduct.

Wing Snob reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify Wing Snob, and you agree to cooperate with Wing Snob's defense of such claims. You agree not to settle any such claim without the prior written consent of Wing Snob.

12. Governing Law and Jurisdiction

These Terms and any disputes arising out of or related to these Terms or the Services shall be governed by and construed in accordance with the laws of the United States of America and the applicable laws of the state in which Wing Snob principally operates, without regard to its conflict of law principles.

To the extent that any dispute is not resolved through arbitration as described in Section 13, you and Wing Snob agree to submit to the exclusive personal jurisdiction of the state and federal courts located within the United States and to waive any objection to the exercise of jurisdiction over the parties by such courts and to venue in such courts.

Wing Snob operates in compliance with applicable federal laws, including the Federal Trade Commission Act (FTC Act), which prohibits unfair or deceptive acts or practices in commerce. Where applicable, Wing Snob also complies with state consumer protection statutes governing food businesses in the states in which it operates.

13. Dispute Resolution and Arbitration

13.1 Informal Resolution

Before initiating any formal dispute resolution process, you agree to first contact Wing Snob at [email protected] and provide a written description of your dispute, including your name, contact information, a detailed description of the issue, and the relief you are seeking. Wing Snob will attempt to resolve the dispute informally within thirty (30) days of receiving your notice. If we are unable to resolve the dispute within this period, either party may proceed to formal dispute resolution.

13.2 Binding Arbitration

Except as provided in Section 13.4 below, any dispute, controversy, or claim arising out of or relating to these Terms, your use of the Services, or Wing Snob's Products, including any question regarding the existence, validity, or termination of these Terms, shall be resolved by binding arbitration administered in accordance with the rules of the American Arbitration Association (AAA) then in effect, rather than in court.

The arbitration shall be conducted in English, in the United States, and shall be decided by a single arbitrator. The arbitrator's award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

13.3 Arbitration Fees

Each party shall bear its own costs and attorneys' fees in connection with any arbitration proceeding, except that the arbitrator may award attorneys' fees and costs to the prevailing party in accordance with applicable law. Filing fees shall be divided equally between the parties unless the arbitrator determines otherwise.

13.4 Exceptions to Arbitration

Notwithstanding the foregoing, either party may seek emergency or injunctive relief in a court of competent jurisdiction to prevent irreparable harm, pending the outcome of arbitration. Additionally, either party may bring small claims court actions for disputes that qualify for such proceedings.

13.5 Class Action Waiver

YOU AND WING SNOB AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a representative or class proceeding. If this specific provision is found to be unenforceable, then the entirety of the arbitration provisions set forth in this Section 13 shall be null and void.

14. Term and Termination

14.1 Term

These Terms shall remain in full force and effect for as long as you access or use the Services or maintain an Account with Wing Snob.

14.2 Termination by You

You may terminate these Terms at any time by ceasing all use of the Services and, if applicable, by deleting or requesting the deletion of your Account. Termination of your Account does not relieve you of any obligations incurred prior to termination, including any payment obligations.

14.3 Termination by Wing Snob

Wing Snob reserves the right to suspend or terminate your access to the Services, in whole or in part, at any time and for any reason, including, without limitation:

• Your violation of any provision of these Terms.
• Requests by law enforcement or government authorities.
• Extended periods of Account inactivity.
• Unexpected technical or security issues.
• Discontinuation of the Services or any part thereof.

14.4 Effect of Termination

Upon termination of these Terms for any reason, your right to use the Services will immediately cease. All provisions of these Terms that by their nature should survive termination, including ownership provisions, warranty disclaimers, indemnification, and limitations of liability, shall survive termination.

17. Entire Agreement

These Terms, together with our Privacy Policy and any other policies or agreements expressly incorporated herein by reference, constitute the entire agreement between you and Wing Snob with respect to your use of the Services and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Services.

No agency, partnership, joint venture, employment, or franchise relationship is created between you and Wing Snob by these Terms or your use of the Services. You may not assign or transfer any of your rights or obligations under these Terms without the prior written consent of Wing Snob. Wing Snob may freely assign its rights and obligations under these Terms without restriction.

18. Force Majeure

Wing Snob shall not be liable for any delay or failure to perform its obligations under these Terms to the extent that such delay or failure is caused by circumstances beyond Wing Snob's reasonable control, including but not limited to acts of God, natural disasters, pandemics, epidemics, governmental actions, civil unrest, war, terrorism, labor strikes, supply chain disruptions, power outages, or internet or telecommunications failures. In such circumstances, Wing Snob will use commercially reasonable efforts to resume the affected Services as soon as practicable.
